AGREEMENT TO OUR LEGAL TERMS

We are MoneyBrief Ltd ("MoneyBrief", "Company", "we", "us", or "our"), a company registered in England and Wales with registered office at 34 Bushnell Road, London SW17 8QP.

We operate the website https://www.moneybrief.co.uk (the "Site") and any related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you (whether personally or on behalf of an entity) and MoneyBrief, concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agree to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you must not use the Services and must discontinue use immediately.

The Services are intended for users who are at least 18 years of age. Persons under 18 are not permitted to use or register for the Services.

We may modify these Legal Terms from time to time. Where changes materially affect your rights, we will notify you by email or via a prominent notice on the Site at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Legal Terms.

We recommend you save or print a copy of these Legal Terms for your records.

1. DEFINITIONS

In these Legal Terms, unless context requires otherwise:

  • "Advisor" means an FCA-regulated independent financial advisor or firm who has registered a paid subscription account with MoneyBrief to receive client introductions.
  • "Brief" means the personalised financial summary document generated by MoneyBrief using artificial intelligence based on a User's questionnaire responses.
  • "Consumer" has the meaning given in section 2 of the Consumer Rights Act 2015.
  • "FCA" means the UK Financial Conduct Authority.
  • "Introduction" means the sharing of a User's Brief and contact details with one or more Advisors with the User's consent.
  • "User" means an individual who completes the MoneyBrief questionnaire to receive a Brief.

2. OUR SERVICES

MoneyBrief operates an online platform that:

(a) enables individuals to complete a structured financial questionnaire covering their goals, assets, liabilities, income, expenditure, cash flow needs, risk profile and other financial circumstances;

(b) uses artificial intelligence to generate a personalised financial summary document (the "Brief") which is delivered to the User by email in PDF format; and

(c) facilitates Introductions between Users and FCA-regulated independent financial Advisors, based on the User's financial profile, stated goals, and geographic location.

MoneyBrief is an information and introduction service only.

The information provided when using the Services is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Those who access the Services from outside the United Kingdom do so on their own initiative and are responsible for compliance with local laws.

3. NATURE OF THE BRIEF — IMPORTANT REGULATORY NOTICE

MoneyBrief is not authorised or regulated by the FCA. We do not provide regulated financial advice, investment recommendations, or arrange investments. We are not an appointed representative of any FCA-regulated firm.

The Brief is:

(a) for informational purposes only. It summarises the financial information you provided and presents observations, summaries, and indicators about your financial position;

(b) not regulated financial advice. It does not constitute a personal recommendation as defined by FCA rules (in particular Article 53 of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001). It does not take into account your full personal circumstances, objectives, or attitudes to risk in the manner required for a personal recommendation;

(c) not a substitute for professional advice. You should not make financial decisions based on the Brief alone. We strongly recommend you consult a qualified, FCA-regulated financial advisor before acting on any matter discussed in the Brief; and

(d) a snapshot at a point in time. The Brief is generated from the information you provide on the date of completion. It does not update automatically and may become out of date as your circumstances or applicable laws change.

You acknowledge and agree that any decisions you take in relation to your finances are your sole responsibility. MoneyBrief is not responsible for any losses arising from your reliance on the Brief.

4. AI-GENERATED CONTENT

You acknowledge that:

(a) the Brief is generated using large language model artificial intelligence, which may occasionally produce errors, omissions, inaccuracies, or misinterpretations of the information you provide;

(b) tax calculations, projections, and other figures in the Brief are estimates based solely on the information you provide and current UK tax rules at the time of generation. They are illustrative only and not professional tax advice;

(c) future investment growth projections in the Brief are illustrative and do not constitute a guarantee, forecast, or promise of any future return;

(d) you are responsible for verifying the figures and statements in the Brief against your own records and, where appropriate, consulting a qualified professional before acting on any of them;

(e) the Brief is generated based only on the information you provide. If your information is incomplete, inaccurate, or misleading, the Brief will reflect this and may be of limited usefulness.

While we take reasonable care to design our systems to produce accurate output, we make no representation, warranty, or guarantee as to the accuracy, completeness, or fitness for any particular purpose of any specific Brief.

5. INTRODUCTIONS TO ADVISORS

If you consent to an Introduction:

(a) MoneyBrief will share your Brief and the contact details you provide with one or more Advisors matched to your profile;

(b) the relationship that follows is between you and the Advisor. MoneyBrief is not a party to any subsequent advisory relationship, agreement, or transaction between you and an Advisor;

(c) MoneyBrief verifies that Advisors are FCA-regulated at the time of their registration. We do not provide an ongoing guarantee of regulatory status, competence, conduct, suitability, or the quality of advice given by any Advisor. You should perform your own checks (including via the FCA Register at register.fca.org.uk) before engaging any Advisor;

(d) MoneyBrief is not responsible for: (i) the suitability, accuracy or quality of any advice an Advisor provides; (ii) any fees an Advisor charges you; (iii) any act, omission, or breach by an Advisor; or (iv) any loss arising from your engagement of an Advisor;

(e) the matching of Advisors is performed using automated logic based on your stated goals, asset level, and location. Inclusion or exclusion of any particular Advisor is not an endorsement or rejection of that Advisor on a quality basis.

If you have a complaint about an Advisor, you should raise it with the Advisor in the first instance and, where unresolved, with the FCA or the Financial Ombudsman Service.

6. USER REPRESENTATIONS AND ELIGIBILITY

By using the Services, you represent and warrant that:

(a) you are at least 18 years of age and have the legal capacity to enter into a binding contract;

(b) the information you provide is true, accurate, current, and complete;

(c) you will not access the Services through automated or non-human means;

(d) you will not use the Services for any unlawful or unauthorised purpose;

(e) your use of the Services will not violate any applicable law or regulation; and

(f) if you are using the Services on behalf of an entity, you have the authority to bind that entity.

If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your access and refuse current or future use of the Services.

7. ACCOUNT REGISTRATION (ADVISORS ONLY)

This section applies only to Advisors registering a subscription account with MoneyBrief. Users who only complete the questionnaire to receive a Brief are not required to register an account.

If you register as an Advisor, you additionally represent and warrant that:

(a) you are authorised and regulated by the FCA, or are an appointed representative of a firm so authorised, and will remain so for the duration of your subscription;

(b) you will comply with all applicable FCA rules (including COBS, SYSC, and the Consumer Duty) in any dealings with Users introduced to you via the Services;

(c) you will not use Briefs or User contact details for any purpose other than providing a regulated advisory service to that User following the Introduction;

(d) you will not contact a User in respect of an Introduction more than three times unless that User has positively engaged with you;

(e) you will not transfer or share User data received via the Services with any third party except as required to provide a regulated advisory service to that User, or as required by law;

(f) you will indemnify MoneyBrief against any regulatory action, claim, loss, or expense arising from your breach of FCA rules or these Legal Terms; and

(g) you will notify MoneyBrief promptly if your FCA authorisation is suspended, withdrawn, or subject to any disciplinary action.

8. PURCHASES, PAYMENT AND SUBSCRIPTIONS (ADVISORS)

This section applies only to Advisor subscription accounts. Users do not pay to use the Services or to receive a Brief.

Payment

We accept the following forms of payment:

  • Visa
  • Mastercard
  • American Express

All prices are in GBP. VAT will be added to the price of purchases where applicable under UK law. You agree to provide current, complete, and accurate purchase and account information and to promptly update it as necessary.

Subscription billing

Subscriptions continue and automatically renew on a monthly basis unless cancelled. You authorise us to charge your chosen payment method on a recurring basis until you cancel. The length of the billing cycle depends on the subscription plan you select.

Cancellation

You may cancel your subscription at any time by emailing us at hello@moneybrief.co.uk. Cancellation takes effect at the end of the current paid term.

Fee changes

We may change subscription fees from time to time. We will give you at least 30 days' written notice of any price change. Continued use of the subscription after the effective date constitutes acceptance of the new fee.

9. CANCELLATION AND REFUNDS

Users

The Services are provided to Users free of charge. You may stop using the Services at any time.

Advisor subscriptions — statutory cancellation right

If you are a Consumer purchasing an Advisor subscription (which is unusual but possible for sole-trader advisors), you may have the right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, unless you have expressly requested and acknowledged that the Services will commence immediately and that you will lose the right to cancel.

Advisor subscriptions — non-consumer

For Advisor subscriptions purchased by a business, subscription payments are non-refundable except where required by law or expressly agreed in writing by MoneyBrief.

10. ACCEPTABLE USE

You agree not to:

(a) use the Services for any purpose other than that for which we make them available;

(b) systematically retrieve data or content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory, without our written permission;

(c) circumvent, disable, or interfere with security-related features of the Services;

(d) attempt to learn sensitive account information such as user passwords or otherwise gain unauthorised access;

(e) use the Services to harass, abuse, or harm another person or entity, including any User, Advisor, or member of our team;

(f) upload or transmit viruses, malware, or any other harmful code;

(g) engage in any automated use of the system, including scripts, scrapers, robots, or data mining tools (except standard search engine indexing);

(h) attempt to reverse engineer, decompile, or disassemble any part of the Services;

(i) impersonate another person or misrepresent your identity or affiliations;

(j) interfere with, disrupt, or place an undue burden on the Services or related infrastructure;

(k) use the Services in any way that violates any applicable law, regulation, or third-party right;

(l) use the Services to compete with us or for any revenue-generating endeavour other than (in the case of Advisors) the use of Introductions in the ordinary course of regulated advisory business; or

(m) transmit unsolicited commercial communications.

11. INTELLECTUAL PROPERTY RIGHTS

We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, text, photographs, graphics, and other content (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). The Content and Marks are protected by copyright and trademark laws and treaties around the world.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any Brief generated for you, solely for your personal, non-commercial use (in the case of Users) or for use within your regulated advisory business (in the case of Advisors).

You own the personal financial information you submit through the questionnaire. By submitting it, you grant us a licence to use it for the purposes of providing the Services, including generating your Brief and (with your consent) sharing it with matched Advisors.

You may not copy, reproduce, aggregate, republish, distribute, sell, or otherwise commercially exploit any part of the Services, Content, or Marks (other than your own Brief) without our prior written permission.

12. SUBMISSIONS AND FEEDBACK

If you send us suggestions, ideas, feedback, or other comments about the Services ("Submissions"), you agree that we may use, modify, reproduce, and disseminate such Submissions for any lawful purpose, including commercial purposes, without compensation or attribution to you. You confirm that any Submission is original to you and does not constitute confidential information.

13. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites and content. We do not investigate, monitor, or endorse any third-party websites or content, and we are not responsible for them. If you choose to access third-party websites or use third-party content, you do so at your own risk, and these Legal Terms no longer govern. You should review the applicable terms and policies of any such third party.

14. PRIVACY AND DATA PROTECTION

We take data privacy seriously. Our collection, use, and disclosure of personal data is governed by our Privacy Policy, which forms part of these Legal Terms.

In particular, you should be aware that:

(a) you provide significant amounts of personal financial information in completing the questionnaire;

(b) this information is processed to generate your Brief and, with your consent, may be shared with FCA-regulated Advisors matched to your profile;

(c) our legal basis for processing is primarily (i) contract (to provide you with the Brief you have requested) and (ii) your consent (for sharing with Advisors and marketing communications);

(d) you have rights under UK GDPR including access, rectification, erasure, and restriction. To exercise these rights, contact hello@moneybrief.co.uk.

The Services are hosted in the United Kingdom. By using the Services from outside the UK, you consent to your data being transferred to and processed in the UK.

Nothing in these Legal Terms limits our liability for breaches of applicable data protection law.

15. SERVICES MANAGEMENT

We reserve the right (but assume no obligation) to:

(a) monitor the Services for breaches of these Legal Terms;

(b) take appropriate legal action against anyone who breaches the law or these Legal Terms;

(c) restrict or revoke access to any User or Advisor who breaches these Legal Terms or applicable law; and

(d) otherwise manage the Services to protect our rights and property and to ensure proper functioning.

16. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services.

We may suspend or terminate your access to the Services, without notice, where you have materially breached these Legal Terms or applicable law, or where required by regulatory or legal authority. Where suspension or termination is not urgent, we will give you reasonable notice and an opportunity to remedy any breach where remediable.

You may stop using the Services at any time. Advisors may cancel subscriptions in accordance with Section 8.

On termination, the following sections survive: 3 (Regulatory Notice), 4 (AI Content), 5 (Advisors), 7(f) (Advisor Indemnity), 11 (Intellectual Property), 12 (Submissions), 14 (Privacy), 18 (Disclaimers), 19 (Liability), 20 (Indemnification), 21 (Governing Law), 22 (Dispute Resolution), 24 (General), and any provision intended to survive.

A previously-generated Brief remains your property and is not affected by termination.

17. MODIFICATIONS AND SERVICE AVAILABILITY

We may change, modify, suspend, or discontinue any part of the Services at any time. We will give reasonable notice where this materially affects your use of the Services.

We do not guarantee uninterrupted availability of the Services. We may need to perform maintenance or experience technical issues resulting in interruptions, delays, or errors. We are not liable for any loss or inconvenience caused by such interruptions, except where caused by our gross negligence.

A Brief that has already been generated and delivered to you remains accessible to you in the PDF you received, regardless of any changes to the Services.

18. DISCLAIMERS

Nothing in these Legal Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of statutory consumer rights that cannot lawfully be excluded; or (d) any other liability that cannot be excluded or limited under applicable UK law.

Subject to the above, the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

In particular, and without limiting the above, we do not warrant that:

(a) the Brief is free from errors or inaccuracies (see Section 4);

(b) the Services will be available without interruption;

(c) the Services are free from viruses or other harmful components; or

(d) any defects in the Services will be corrected.

You should use your own judgement and exercise appropriate caution in relying on any information from the Services.

19. LIMITATION OF LIABILITY

Nothing in this Section limits our liability for matters specified at the start of Section 18 above.

Subject to that:

(a) we are not liable for indirect, consequential, special, incidental, exemplary, or punitive damages, including (without limitation) loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of opportunity, even if we have been advised of the possibility of such damages;

(b) we are not liable for any loss arising from your reliance on the Brief, including losses caused by your acting or failing to act on any matter discussed in the Brief;

(c) we are not liable for the acts, omissions, advice, or conduct of any Advisor introduced to you via the Services; and

(d) our total aggregate liability arising out of or in connection with these Legal Terms or your use of the Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will not exceed the greater of (i) £100, or (ii) the total amount paid by you to MoneyBrief in the 12 months preceding the event giving rise to the claim.

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MoneyBrief, its directors, officers, employees, and agents from and against any claim, demand, loss, damage, liability, cost, or expense (including reasonable legal fees) arising from or relating to:

(a) your breach of these Legal Terms;

(b) your violation of any applicable law or regulation;

(c) your violation of any third-party right;

(d) (in the case of Advisors) your breach of FCA rules or any advice or service you provide to a User introduced via the Services; or

(e) any false or inaccurate information you have provided to us.

We reserve the right to assume the exclusive defence and control of any matter for which you are required to indemnify us. You agree to cooperate with our defence of such claims.

21. GOVERNING LAW AND JURISDICTION

These Legal Terms are governed by the laws of England and Wales.

Subject to Section 22, the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Legal Terms. If you are a Consumer resident in another part of the United Kingdom, you may bring proceedings in the courts of the part of the United Kingdom in which you reside. If you are a Consumer resident in the European Union, mandatory provisions of consumer protection law in your country of residence may give you additional rights that these Legal Terms cannot override.

22. DISPUTE RESOLUTION

Informal resolution

If a dispute arises, we encourage you to contact us at hello@moneybrief.co.uk so that we can attempt to resolve it informally. We will respond within 14 days.

Consumer Users — court resolution

If you are a Consumer and we cannot resolve the dispute informally, you may bring the matter to the courts identified in Section 21. You retain all rights under applicable consumer protection law.

Business disputes — arbitration option

For disputes between MoneyBrief and an Advisor or other business user, where the parties agree in writing, the dispute may be referred to arbitration administered by the London Court of International Arbitration  under its rules in effect at the time of the dispute. The seat of arbitration will be London, the language will be English, and the substantive law will be the law of England and Wales. Where the parties do not agree to arbitration, the courts of England and Wales have jurisdiction.

Financial Ombudsman Service

If you are an eligible complainant and have a complaint about an Advisor's regulated activities, you may be able to refer the complaint to the Financial Ombudsman Service (financial-ombudsman.org.uk). MoneyBrief is not itself an authorised firm and is therefore not covered by the Financial Ombudsman Service.

23. NOTICES AND ELECTRONIC COMMUNICATIONS

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

You consent to the use of electronic signatures, contracts, orders, and other records and to electronic delivery of notices, policies, and records of transactions.

24. GENERAL PROVISIONS

Entire agreement. These Legal Terms, together with the Privacy Policy and any other policies expressly incorporated, constitute the entire agreement between you and MoneyBrief regarding the Services.

No waiver. Our failure to enforce any provision of these Legal Terms does not constitute a waiver of that provision.

Severability. If any provision is held to be unlawful, void, or unenforceable, the remaining provisions remain in full force and effect.

Assignment. We may assign these Legal Terms (in whole or in part) at any time, including in connection with a corporate transaction. You may not assign these Legal Terms without our prior written consent.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including (without limitation) acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, internet or telecommunication failures, or third-party service outages.

No third-party rights. A person who is not a party to these Legal Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term, except that an Advisor may rely on Section 5 to the extent it limits their liability.

Headings. Headings are for convenience only and do not affect interpretation.
